The Fiji Rakavi Football Union (FRFU) Ltd board of directors have yet to sign the document that gives them the power to run full operational matters at Rugby House.

Chairman of the board of trustees Peter Mazey confirmed the Deed of Arrangement was with the board for review and signing.

“It’s up to them to sign it first to say they’ve accepted it. They haven’t signed it” Mazey said.

This followed the revelation made by the FRFU board chairman John Sanday that the Fiji Rugby Union trustees were still handling all the matters at Rugby House.
Sanday said the governance transition from the trustees to the board of directors was in progress.

The board of directors are expected to make some legal changes once a Deed of Arrangement which has been proposed is signed.

“This transition is structured to ensure Fiji Rugby operates with greater efficiency and accountability under a modernised governance model,”Sanday said.

A Deed of Arrangement has been proposed to formally transfer operational control from the Trustees to the Board of Directors.

It will be allow FRFU Ltd to take full control of Fiji Rugby’s commercial, financial, and administrative operations.

It will also ensure that all new contracts, sponsorship agreements, and financial transactions are executed solely under FRFU Ltd.

The proposed Deed of Agreement will require the Trustees to act only upon directives from the board, maintaining legal continuity during the transition period.

“The timeline for completion is being carefully managed to ensure compliance with all legal and regulatory require-ments,” Sanday said.

Once the Deed of Arrangement is signed, the following changes will take effect:

  • FRFU Ltd will be fully responsible for employment contracts, sponsorship agreements, and financial management.
  • The Trustees will no longer have direct operational control but will retain legal oversight of existing contracts.
  • All new agreements—including employment, sponsorship, and commercial contracts—will be managed exclusively by FRFU Ltd.

“These changes will help streamline decision-making and strengthen Fiji Rugby’s ability to manage its affairs independently,” he added.
